Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between you and HIRO BUSINESS MANAGEMENT INC. (“we”, “us”, or “our”) governing your access to and use of ResumeHelix, including the website at https://resumehelix.com, the application, Charlie, Career Memory features, resume generation and matching tools, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

ResumeHelix is operated by HIRO BUSINESS MANAGEMENT INC.

ResumeHelix is an AI-powered career companion that helps students and job seekers organize their professional experience into a Career Memory and generate tailored resumes. Charlie is our conversational coaching agent (powered by Grok via the Base44 platform).

You supply your own experience and information. The Service helps you structure, refine, and match that information so you can create resumes that reflect the experience you choose to present. You remain responsible for reviewing and accepting the content before using or sharing it.

You must be at least 16 years old (or the age of digital consent in your jurisdiction) and capable of entering a binding contract.

You are responsible for: providing accurate registration information; keeping your login credentials confidential; all activity that occurs under your account; and notifying us promptly of any unauthorized access.

We may refuse, suspend, or terminate accounts that violate these Terms or present risk to the Service or other users.

You own your Career Memory and the professional content you provide.

This includes work experience, education, certifications, skills, responsibilities, accomplishments, supporting details, uploaded resumes/documents, chat messages with Charlie, and the resumes and materials generated for you from that content (“Your Content”).

Nothing in these Terms transfers ownership of Your Content to us.

By using the Service you grant us a limited, non-exclusive, royalty-free, worldwide license to host, store, process, reproduce, adapt, and display Your Content solely as needed to: provide, operate, secure, and improve the Service for you; power Charlie and generate tailored resumes and related outputs; and comply with law and enforce these Terms.

Because ResumeHelix runs on the Base44 platform, Your Content is also processed under the terms that apply between HIRO and Base44. Those terms include a license allowing Base44 to use Customer Data (which includes Your Content) to maintain, provide, and improve its platform, including by training its software tools and AI/ML models. You acknowledge this platform-level processing as described in our Privacy Policy.

This license ends when you delete the relevant content or close your account, except for residual copies retained for legal, security, or backup purposes as described in our Privacy Policy.

You represent that you have the right to provide Your Content and that it does not infringe third-party rights or applicable law. You remain solely responsible for the accuracy and truthfulness of the information you enter and of any resume or materials you review, accept, export, share, or submit to employers.

The Service uses artificial intelligence (including Charlie powered by Grok via Base44) to help you build Career Memory, match experience to job descriptions, and generate tailored resumes.

AI outputs are assistive. They may rephrase, expand, structure, or suggest wording based on the information you provide. They may contain errors, omissions, or phrasing that does not perfectly match your original input or actual experience.

You must review, edit, and accept all AI-assisted or generated content before relying on it or submitting it to any third party.

By reviewing and accepting (or exporting) generated content, you adopt it as your own and become responsible for it.

We do not guarantee that AI outputs will be error-free, complete, free from bias, or optimally suited to any particular employer or role.

Third-party AI providers (including xAI/Grok) process relevant portions of Your Content to produce the requested outputs, subject to their terms. Separately, the Base44 platform (on which ResumeHelix is built) has rights under its own Terms of Service to use Customer Data for platform improvement, including training its own AI/ML models. ResumeHelix is a tool to organize, match, and present your experience.

We do not guarantee interviews, job offers, employment, salary outcomes, or any specific career result. Effectiveness depends on many factors outside our control (your qualifications, the job market, employer decisions, competition, how you use the materials, etc.).

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Enter, generate, or submit false, misleading, or fabricated credentials, employment history, education, skills, or accomplishments

• Impersonate any person or misrepresent your identity or affiliation

• Use the Service for any illegal purpose or in violation of employment, privacy, anti-discrimination, or other applicable laws

• Attempt to reverse-engineer, scrape, overload, or disrupt the Service

• Use the Service to train, develop, or improve competing products or AI models, or to extract data for such purposes

• Share your account credentials or resell/redistribute access without our written permission

• Upload malware, spam, or harmful content

We may suspend or terminate access and take other appropriate action if we believe you have violated these rules or misused the Service.

The Service, including its design, software, branding, templates, and underlying technology (excluding Your Content), is owned by us or our licensors and protected by intellectual property laws. You receive only a limited, personal, non-exclusive, non-transferable right to use the Service as permitted by these Terms.

Feedback you provide about the Service may be used by us freely without obligation to you.

Certain features may require a paid subscription or usage credits. Fees, billing cycles, renewal, and cancellation terms will be presented at the time of purchase. Unless stated otherwise, fees are non-refundable except as required by law. You are responsible for applicable taxes.

You may stop using the Service and request account deletion at any time.

We may suspend or terminate your access immediately if you violate these Terms, if continued access poses risk, or for other legitimate operational or legal reasons. Upon termination we may delete or anonymize Your Content in accordance with our Privacy Policy (subject to legal retention needs). Sections that by their nature should survive (ownership, disclaimers, liability limits, indemnification, governing law) will survive termination.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI outputs will meet your expectations or produce any particular result.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST OPPORTUNITIES, LOSS OF DATA, OR REPUTATIONAL HARM) ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless HIRO BUSINESS MANAGEMENT INC. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms or applicable law; or (d) your submission of materials generated or assisted by the Service to any third party.

We may update these Terms from time to time. We will post the revised version on this page and update the “Last updated” date. If changes are material we will provide additional notice as required by law. Continued use after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to any mandatory consumer protections that cannot be waived, you agree that the courts of Ontario, Canada shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.

You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
